AI Agent Warehouse LLC — Terms of Service

1. Agreement to Terms

By accessing or using the services, software, websites, AI agents, automation tools, or related offerings of AI Agent Warehouse LLC (“Company,” “we,” “our,” or “us”), you (“Customer,” “User,” or “you”) agree to be bound by these Terms of Service (“Terms”) and the Privacy Policy. If you do not agree, do not use the Services.

2. Services

The Company provides cloud-based automation and AI-powered software services, including but not limited to AI voice agents, chatbots, website chat and social media messaging automation, CRM workflows, analytics, hybrid AI + human call center services, and proprietary AI agents that may access or operate third-party software at your direction. Services may be updated, modified, enhanced, replaced, or discontinued at any time.

3. Subscription, Pricing & Billing

All Services are billed on a monthly, per-location subscription basis unless otherwise agreed in writing. Subscriptions renew automatically each billing cycle until canceled.

3.2. Core Products (Per Location)

Website Chat Bot — $50 per month. Includes 3,000 chat messages per billing cycle. Website chat only. $10 per additional 1,000 messages.

Website + Social Bot — $100 per month. Includes 6,000 combined messages per billing cycle. Website chat and social media messaging. $10 per additional 1,000 messages.

Voice Bot — $150 per month. Includes 300 voice minutes per billing cycle. Voice channel only. $0.20 per additional minute.

Mega Bot — $250 per month. Includes 500 voice minutes per billing cycle and 6,000 combined website and social messages per billing cycle. $0.20 per additional voice minute and $10 per additional 1,000 messages.

Enterprise plans are governed by separate written agreements. Included usage resets monthly and does not roll over.

3.3. Prepaid Plans (Mega Bot)

Prepaid subscriptions are non-refundable after 30 days. Six-month prepay is $1,250 (one month free). Twelve-month prepay is $2,250 (three months free). Subscriptions renew on the same plan unless a change is requested in writing prior to renewal.

3.4. Automatic Upgrade Add-Ons

Optional AI upgrades or feature expansions may be enabled at $10 per bot per month or $20 per month for Mega plans.

3.5. Authorization for AI Upgrades & Feature Deployment

You authorize the Company to deploy updates, enhancements, refinements, and new features to AI agents, prompts, workflows, logic, automations, and integrations. AI systems evolve over time, and such changes do not constitute a breach of these Terms.

3.6. Payment Method Authorization

You authorize the Company to store and automatically charge your payment method for subscription fees, prepaid renewals, usage overages, add-ons, upgrades, late fees, reinstatement fees, and any other amounts owed under these Terms. No additional authorization is required for variable charges.

3.7. Nonpayment, Late Fees & Reinstatement

Balances unpaid after five days incur a 20% late fee. Accounts unpaid after fifteen days may be suspended or terminated. A $199 reinstatement fee applies. Failure to pay overages constitutes nonpayment.

3.8. Pricing Changes, Discounts & Promotions

The Company may modify pricing, usage limits, overage rates, discounts, coupons, promotions, or plans at any time. Promotions are temporary and non-transferable. Continued use constitutes acceptance.

4. Reasonable Use & Excessive Activity

Services are intended for normal business use. Excessive, abusive, or abnormal usage may result in throttling, additional charges, plan upgrades, suspension, or termination. You are responsible for all usage generated by your account.

5. Privacy & No Sale of Customer Data

The Company does not sell, rent, license, or trade Customer Data. Data may be shared only with service providers acting on the Company’s behalf subject to confidentiality obligations.

6. Customer Content, Recordings, Transcripts & Product Improvement

You grant the Company a worldwide, royalty-free license to store, process, analyze, reproduce, and derive works from Customer Content solely to provide and improve the Services. Customer Content includes recordings, transcripts, messages, metadata, summaries, and analytics. The Company may record calls, generate transcripts, read and listen to recordings, and use such materials for quality assurance, analytics, AI refinement, and feature development. Customer Content is not used to train third-party AI models without opt-in.

7. Call Recording & Consent

You are responsible for providing required disclosures and obtaining all necessary consent for call recording, monitoring, and messaging. You indemnify the Company for failures to obtain consent..

8. HIPAA & Protected Health Information

Services are not HIPAA compliant by default. The Company acts as a Business Associate only when a written Business Associate Agreement is executed. Without a BAA, you may not transmit PHI.

9. Acceptable Use

You may not use the Services for spam, fraud, impersonation, illegal activity, security testing without authorization, or to clone or compete with the Services.

10. Third-Party Dependencies

The Company is not responsible for outages, filtering, blocking, API changes, or failures of third-party platforms, carriers, or providers.

11. Intellectual Property

All software, AI agents, workflows, and outputs are the exclusive property of AI Agent Warehouse LLC. You may not copy, clone, reverse engineer, resell, or train competing systems.

12. Warranty Disclaimer & Limitation of Liability

Services are provided as-is. Liability is limited to fees paid in the three months preceding a claim. No liability for indirect or consequential damages.

13. Indemnification

You agree to indemnify and hold harmless the Company from claims arising from your use of the Services or violation of these Terms.

14. Termination

The Company may suspend or terminate Services for nonpayment, abuse, or violation of these Terms. Termination for cause is without refund.

15. Arbitration

All disputes are resolved by binding individual arbitration administered in Denver, Colorado. No class actions.

16. Governing Law

These Terms are governed by the laws of the State of Colorado.

17. Changes to Terms

The Company may modify these Terms at any time. Continued use constitutes acceptance.

18. Affiliate, Referral & Incentive Programs

The Company may offer affiliate or incentive programs. Commissions are earned only on collected revenue, may be modified, clawed back, or revoked, and are paid via the method designated by the Company. No partnership or employment relationship is created.

19. Hybrid AI + Human Call Center Services

Hybrid services combine AI, automation, and human agents. Errors may occur. You authorize access to third-party systems and remain responsible for oversight, verification, and compliance.

20. Force Majeure

The Company is not liable for delays or failures caused by events beyond its reasonable control including carrier outages, cloud failures, labor shortages, or governmental actions.

21. Survival

Sections relating to billing, intellectual property, recordings, privacy, HIPAA, affiliates, liability, indemnification, arbitration, and governing law survive termination.
