AI Agent Warehouse LLC — Terms of Service
1. Agreement to Terms
By accessing or using AI Agent Warehouse LLC ("Company," "we," "our," or "us") services, software, AI agents, or websites (collectively, the "Services"), you agree to be bound by these Terms of Service and our Privacy Policy.
2. Services Provided
We provide AI-powered voice agents, chatbots, workflow automation, CRM, messaging, call routing,
analytics, and related SaaS services. Services may integrate with or control third-party software at your
direction.
3. Subscription & Billing
All services are billed monthly per location unless otherwise agreed in writing.

Included Usage & Overage Charges
Each subscription includes a defined amount of voice usage per monthly billing cycle. Included usage resets each billing cycle and does not roll over. Usage exceeding the included allocation will be automatically billed at the stated overage rate using the payment method on file.
Enterprise Plans
Enterprise plans are governed by a separate written agreement. Standard pricing, usage limits, overage
rates, cancellation, and refund terms do not apply unless expressly stated.
Payment Method Authorization
By providing a payment method, you authorize AI Agent Warehouse LLC and its payment processor to
securely store and automatically charge it for monthly subscription fees, overage usage charges, add-ons,
reinstatement fees, and any other amounts owed under these Terms without additional approval.
Payment Defaults, Late Fees & Reinstatement
Failed payments are retried automatically. Balances unpaid after five (5) days incur a 20% late fee.
Accounts unpaid after fifteen (15) days may be suspended or terminated. A $199 reinstatement fee
applies to restore services. Failure to pay overage charges constitutes nonpayment.
4. Intellectual Property & Use Restrictions
All AI logic, voices, scripts, workflows, automations, and outputs are proprietary to the Company. You may
not copy, clone, reverse engineer, repurpose, or resell any part of the Services or outputs.
5. Outsourcing & Third-Party Delivery
We may outsource or subcontract the creation or delivery of any product or service without notice.
6. Limitation of Liability
To the maximum extent permitted by law, total liability is limited to fees paid in the three (3) months
preceding the claim. We are not liable for indirect or consequential damages.
7. Governing Law & Arbitration
These Terms are governed by Colorado law. Disputes are resolved by binding arbitration in Denver,
Colorado.
